Creator Terms

Article 1. Purpose

These Creator Terms set out the rights and duties between Netty Co., Ltd. ("the Company") and creators who open a channel on CLIFF and publish or sell works there.

Article 2. Definitions

  • "Creator" means a member who has opened a channel on CLIFF.
  • "Work" means a series a Creator uploads to a channel, together with its episodes, trailers, Shorts, thumbnails and work information.
  • "Rental" means a transaction in which a user spends Coins to watch a paid episode for a limited period. It does not transfer ownership.
  • "CLIFF Subtitles" means subtitles and translated subtitles that the Company generates automatically from a work's audio and on-screen text.

Article 3. Documents and order of precedence

The CLIFF Terms of Service, these Creator Terms and the policies that form part of them (the Monetization and Payout Policy, the Content Policy and the Copyright and Takedown Policy) apply together to Creators.

Where the Terms of Service and these Creator Terms differ on creator activity, these Creator Terms prevail. They also prevail over help pages, guides and other notices.

If the Company and a Creator sign a separate written agreement, that agreement prevails to the extent it covers.

Article 4. Consent and formation

A Creator agrees to these Creator Terms and the policies once, when opening a channel. The Company does not ask for consent again each time a work or episode is uploaded; at upload the Creator only enters work information such as the viewing rating.

There is no registration or listing fee for opening a channel or uploading works.

Any member may open a channel. A member who is a minor under applicable law also obtains a legal guardian's consent when opening the channel, and this consent is likewise given once.

Article 5. Changes to these terms

When the Company changes these Creator Terms or the policies, it posts the effective date and the reasons in the service at least 7 days in advance. Changes that are unfavourable to Creators are posted at least 30 days in advance and also sent to each Creator by email.

The notice states clearly that a Creator who does not object by the effective date will be treated as having agreed. A Creator who does not object by then is treated as having agreed to the change. This is the procedure for changing the terms and does not mean consent is requested again at upload.

A Creator who objects may close the channel. Rentals made before the effective date are settled under the previous terms, and the remaining earnings are paid under Article 17.

If the revenue share or settlement terms change to a Creator's disadvantage, the change applies only to rentals made on or after the effective date and never to earnings already accrued.

Article 6. Rights in works

Copyright and all other rights in a work, including its IP, sequels and remakes, remain with the Creator. The Company acquires no rights beyond the licence in these Creator Terms.

The licence is non-exclusive. A Creator may freely publish and sell the same work elsewhere.

Article 7. Licence to the Company

A Creator grants the Company a worldwide, non-exclusive licence over the work covering the following.

  • Storing, transcoding and streaming the work on the CLIFF web and apps, and renting it out or offering it free
  • Technical processing needed for playback, such as encoding at several qualities, generating thumbnails and previews, and copies made for delivery
  • Search, recommendation and display within CLIFF
  • Promotion: using the title, description, thumbnails, stills, trailers and episode video, including excerpts, within CLIFF and on the Company's website, social media, advertising and other marketing channels, with no limit on length
  • Automatically generating and publishing CLIFF Subtitles, summaries and chapters under Article 10

The Company may entrust processing within this scope only to vendors that operate the service, such as hosting, streaming, payment and subtitle processing. The Company does not distribute or sell works on other platforms.

The consideration for this licence is the revenue share under the Monetization and Payout Policy. There is no separate licence fee.

Article 8. Duration and end of the licence

The licence is valid while the work is published on CLIFF.

When a Creator makes a work or episode private or deletes it, the Company immediately stops new rentals, free viewing and display.

Rentals made before deletion remain watchable, with video and subtitles, until they end (all rentals last one year (365 days) from the original rental transaction). These rentals are settled in the month they were made, whether or not they are watched, and are not counted again on playback.

The Company may keep the work privately to the extent needed for legal retention, handling reports and disputes, and settlement records.

When a Creator deletes a work, the Company immediately deletes the copies made for playback. The original video files are kept privately for 90 days from deletion for restoration and the handling of disputes, and are then deleted. Where a reason in the preceding paragraph remains, the Company may keep them for as long as that reason requires.

The Company takes down promotional material it controls within 30 days. It cannot guarantee the recall of posts already shared outside CLIFF.

If a work is taken down because of a rights claim, a law or an order, the exception for existing rentals does not apply, and settlement follows the Monetization and Payout Policy.

When a channel is closed, the same rules apply to all its works.

Article 9. Review before publication

The Company reviews works and episodes against these Creator Terms and the Content Policy before they are published, and aims to report the result within 24 hours of submission, counted in business days.

If changes are needed or a work cannot be published, the Company gives the reason, and the Creator may correct it and resubmit.

Passing review does not mean the Company guarantees the work's rights or legality.

Article 10. Subtitles, translation and summaries

CLIFF Subtitles are on by default. The Company automatically generates and publishes CLIFF Subtitles for works without separate consent, as this is covered by the consent under Article 4. This includes episodes that are already public.

In the same way, the Company may automatically generate and publish episode summaries and chapters.

A Creator can turn off CLIFF Subtitles for each work and language, and summaries and chapters for each work. In the channel settings a Creator can also turn off automatic translation, or have automatic translations wait for the Creator's own check before they are published. The Company may also turn off a language when there is a quality, legal or rights problem.

Rights in subtitles a Creator uploads remain with the Creator.

Rights in CLIFF Subtitles and summaries belong to the Company, while rights in the content of the work remain with the Creator. The Company uses them only to offer that work on CLIFF and stops using them when the licence and any existing rentals under Article 8 end.

The Company tells users, as the law requires, that CLIFF Subtitles and summaries are generated by AI.

A Creator may ask for mistranslations in CLIFF Subtitles to be corrected. The Company corrects them or turns off that language within a reasonable time, and is responsible for problems caused by mistranslations in CLIFF Subtitles.

Article 11. Warranties

The Creator warrants the following.

  • The Creator holds the rights needed to publish and sell the work and its information (title, thumbnails, script, music, voices, likenesses and output of AI tools) on CLIFF.
  • The terms of any AI tool used to make the work allow commercial use.
  • The work does not synthesise or imitate a real person's face or voice without permission.
  • For a co-produced work, the other rights holders have agreed.
  • Music, sound effects and images are the Creator's own, licensed, or free for commercial use. A work based on someone else's script or a script spread without permission is not sold as paid content.

Article 12. Content standards

Creators follow the Content Policy, which covers what may not be uploaded, viewing ratings, adult works, thumbnail, title and tag rules, work information and AI use information.

Article 13. Prohibited conduct

Creators do not do the following.

  • Renting their own works, directly or through others, to inflate earnings
  • Manipulating views, ratings or comments with automated tools or paid arrangements
  • Impersonating another creator or the Company
  • Collecting users' personal information learned through the service or using it for other purposes
  • Placing external payment links in work descriptions, comments or the channel feed, or steering users to pay outside CLIFF. Mentioning that the work is also available elsewhere and introducing social media channels is allowed.

If an external payment link breaches app store policy, the Company may hide it immediately. The Creator may fix it within 7 days of notice; otherwise the Company may take measures under Article 15.

Article 14. Sales and revenue

The Company is the seller of rentals to users and handles payment, refunds, consumer notices and transaction taxes.

The Creator receives 70% and the Company 30% of the allocation base. Prices, the allocation base, settlement and payment follow the Monetization and Payout Policy.

Article 15. Enforcement

If a Creator breaches these Creator Terms or the policies, the Company may take the following measures according to the seriousness of the breach.

Before taking a measure, the Company gives the reason and duration in Creator Center and by email and offers a chance to correct the breach. However, for clearly illegal content, court or government orders, or urgent risk to users, the Company acts first and notifies right away.

A Creator may object within 30 days of notice, and the Company replies within 14 days.

While a channel is suspended, earnings that legitimately accrue from works unrelated to the breach are still paid.

Article 16. Rights claims

Infringement notices and requests to restore content follow the Copyright and Takedown Policy.

Article 17. Closing a channel

A Creator may close the channel at any time. The sole owner of a channel can leave after making the channel private and stopping sales.

When a channel is closed, the remaining earnings are paid on the next payment date regardless of the minimum payout. Identity verification and a payout account are required, and until they are registered the earnings are kept under the Monetization and Payout Policy.

After the final payment, the Company makes no further deduction or claim unless intentional fraud is confirmed.

Article 18. Termination by the Company

If a Creator commits a serious breach and does not fix it within 14 days of notice, the Company may terminate the agreement. In the cases where Article 15 allows the Company to act first, it may terminate immediately.

If the Company ends the service, it gives notice 30 days in advance.

Earnings that legitimately accrued are paid after the agreement ends, in the same way as under Article 17.

Article 19. Survival

The provisions on settlement and payment, warranties, liability and dispute resolution survive the end of the agreement.

Article 20. Liability

The Company and each Creator compensate the other for damage caused by their own intent or negligence.

If a Creator breaches Article 11 and the Company receives a claim from a third party, the Creator bears the resulting damage.

The Company is not liable for damage caused without its intent or negligence, such as natural disasters, causes attributable to the Creator, or failures of outside services beyond its control.

Article 21. Change of operator

The Company may transfer the operation of the service to another legal entity. It then gives 30 days' notice of the new operator's name, address and contact details, the transfer date, the transfer of personal information and how to opt out of it.

The new operator takes over these Creator Terms and any unpaid earnings unchanged. If the operator is outside Korea, the Company meets the legal requirements for transferring personal information abroad.

A Creator who does not agree to the transfer may close the channel before it takes place, and the Company settles under Article 17.

Article 22. Notices

The Company sends notices to the email address the Creator registered or through in-service notifications.

Article 23. Governing law and jurisdiction

These Creator Terms are governed by the laws of the Republic of Korea. The competent court is determined under the Civil Procedure Act and the applicable rules on international jurisdiction. Protections given by mandatory laws of the Creator's country of residence still apply.

Article 24. Transitional provisions

The following apply from the time each feature becomes available in the service, and the Company announces when it does: the consent step when opening a channel (Article 4); automatic speech-recognition CLIFF Subtitles, summaries and chapters and the settings to turn them off (Article 10); continued viewing of existing rentals after a work or episode is made private or deleted (Article 8); and price selection for paid episodes (Article 2 of the Monetization and Payout Policy).

Until continued viewing applies, making a work or episode private or deleting it may also stop viewing of existing rentals. Rentals already made are still settled.
